        Revised Constitution - Introduction      

The Society has decided that we should up-date our constitution in line with current practice. We have prepared a draft, based on a draft from the Charity Commission. The new one looks lengthy because it deals with several contingencies that we hope will never happen to us. The main alteration is that we change from being an unincorporated society to one limited by guarantee. This means that should we ever incur a large liability, no individual member or member of the committee will have to find more than £1.

At our Annual General Meeting on 12th November 2018, three resolutions will be put to the meeting, viz:

  1. To approve the draft constitution dated June 2018 for submission to the Charity Commission for registration of the Trust as a CIO;

  2. To authorise the Chairman and Honorary Treasurer to approve on behalf of the existing Trust such amendments as are required by the Charity Commission in order to achieve registration and also to sign allied documentation.

  3. To approve the transfer of all property, operations assets and liabilities of the existing Trust’s Undertaking to the new registered CIO on original trusts and following such transfer, the voluntary winding up of the existing unincorporated Trust.

 

Apparently once we change our legal status, it will be necessary to change our bank account, which will be tiresome as it will affect our standing order arrangements. At the moment we are investigating the implications of this and will do it with the minimum of fuss, but there will be some disturbance.
